Terms and conditions for
Pixii installer app

These terms and conditions outline the rules and regulations for the use of the Pixii installer app.

1. Introduction

Welcome to Pixii Installer App (the “App”). The App is published by Pixii AS (“Pixii”). By downloading or accessing the App through other means, you accept to be bound by the following terms and conditions.

2. Agreement date

Registration is considered complete from the date you create the login and password through the App, which allows Pixii to commission the Residential energy storage system Pixii Home (“Pixii Home” or the “System ”).

3. Delivery of services

Our delivery is done through the App, which can be downloaded from the Apple Store and Google Play Store . The agreement includes commissioning of the Pixii Home for the services you specify in the App, for which has developed integration functionality. Commissioning occurs per the specification you choose in the App, see more about this below. Commissioning your Pixii Home with an aggregator may make you eligible for Aggregator mode override , see Aggregation below.

4. Commissioning

As a Pixii Home Installer, you are required to obtain Pixii Home certificate to be allowed to use the App and commission Pixii Home. The certificate is obtained by completing the training in our Pixii Academy. Contact your employer for more information about Pixii’s trainings. The App is a mean to assist during commissioning, which is required to be performed in accordance with the Installation guide, see 15342_Installation guide_Pixii Home_Outdoor Cabinet 1v2 . The Installation of meters is required to be in accordance with the meters compatible to Pixii Home and depending on the services you have agreed to configure (Peak-shaving, PV and/or Frequency services). 5. Aggregation

An Aggregator is a partner selected by the end-customer, who would aid the end-customer on the flexibility markets. Pixii is not involved in the agreements between Aggregator and End-customer or between the Installer and the Aggregator. Therefore, Pixii is not responsible for any services provided by the Aggregator to the Installer or to the End-customer.
When not working with any Aggregator or when the end-customer decides to terminate their relationship with an Aggregator the System is considered as independent.
By commissioning a Pixii Home with an Aggregator , the Aggregator override mode will take control of the Pixii Home, enabling the Aggregator to control the Pixii Home and allowing the end-customer only to monitor Piixi Home. You are responsible for commissioning the correct Aggregator to the end-customer’s Pixii Home. In case the Pixii Home is not used in the flexibility markets, you are responsible for commissioning the Pixii Home as independent System

6. Termination

By deleting the App you are terminating your use of services through the Pixii Installer App, even as certified Installer. By failing to re-certify in the stablished period you are terminating the use of services through the Pixii Installer App. By failing to agree to updates of these terms and conditions , you are terminating the use of services through the App, even as a certified and/or re-certified Installer. The user will be informed of the updated terms and conditions when logging in into the App.

7. Temporary disruption of service and expiry of services.

Pixii endeavours to make the App available 24 hours a day, but Pixii reserves the right to temporarily discontinue or cease providing services relating to or through the App. Such discontinuation or cessation can occur with or without notice and should Pixii choose to do so or should external circumstances force such disruption to services, Pixii’s will have no liability for any sort of loss or claim related to such suspension or termination of services.

8. Responsibility & liability

Pixii will publish and provide access to the App with the functionalities and on the terms described herein and the other terms included by reference.

Pixii will have no liability for (i) the use of the App either by the Installer, the Aggregator, the end-customer or any other party, or (ii) any sort of loss or claim that could occur related to the App. This will apply even if Pixii was aware or reasonably should have been aware of the possibility for such loss or claim.

Pixii is not responsible for any losses incurred by you as a result of operation failures or power failures or similar occurrences or as a result of failure or malfunctions in the App, including any operational losses, losses of profit, or indirect losses which may otherwise suffer as a result, of the simultaneous use of the App in relation to your profession or job.

You are responsible for downloading updates for the App, to the extent that Pixii releases updates. You are responsible for complying with all applicable laws and regulations, as well as these terms and conditions when using the App. This includes but is not limited to not using the App in any unlawful manner, making no attempt to obtain unauthorized access to the App, or altering translating, adapting or reverse engineering any part of the App.

By providing login information to Pixii or regarding Pixii Home you confirm to Pixii that you are entitled to disclose this information to Pixii, and you accept full responsibility for Pixii’s or Fuse’s integration of this information with the software that controls and monitors the Pixii Home.

9. Delivery obstacles and Force Majeure

In case of a situation outside the control of the parties (“a Force Majeure event”), your and Pixii’s obligation to each other are suspended for as long as the Force Majeure event exists. A Force Majeure event may include one or more incidents of the following non-exhaustive list:

  1. Extraordinary natural disasters, including earthquakes, floods, and ice winters,
  2. Anti-societal events, including wars, riots, terror,
  3. Fires, conflagrations, and vandalism,
  4. IT-manipulation and other, accidental, events that cause disruptions to IT and communications,
  5. Breakdown of or damage to electrical systems that are not caused by the utility supplier’s fault or neglect,
  6. Impossibility of obtaining necessary labour, machinery, or subcontractors,
  7. Labour disputes, including but not limited to strikes and lockouts,
  8. Uncertainty of electricity supply, including insufficient energy productions and/or imports.

11. Intellectual property rights (IPR)

All intellectual property rights include copyright of all material in the App, including information, data text, audio, images, graphics, videos, calculations, and messages, is the property of Pixii or licensed to Pixii from a supplier. Such material may not be copied, edited, modified, reproduced, published, displayed, distributed, sorted, commercially, exploited, disseminated, or used without express written agreement with Pixii.

12. Agreement changes

Your agreement with Pixii consists of these terms and conditions, the terms referenced herein and any terms and conditions for the distribution and installation of Pixii Home that Pixii’s re-seller or partner has entered into with you. Your electricity supply agreement is not part of this agreement. Pixii retains the right to change these terms and conditions without prior written notice. If Pixii makes material changes to these terms and conditions, you will be notified via the App itself. Any changes to these terms and conditions will take effect thirty (30) calendar days after sending the first notification through the App itself. By continuing to use the App after thirty (30) calendar days’ notice expires, you will be deemed to have accepted the changes. Please note that you are always responsible for keeping personal information up to date so that Pixii has your current email address. Failing to view notice of change still constitutes effective notice of any changes described in the notice.

Please contact your Pixii Home partner or re-seller with questions about the App. If you experience errors in the App, you can notify Pixii using our support contact form.

14. Applicable law and venue

The Terms and Conditions are governed by Norwegian law. Resolution of any and all disputes arising under or as a result of these terms and condition or related to the App, should first be sought solved through negotiations, in which both sides are obliged to participate. If these negotiations do not succeed, then the venue for resolution of the dispute shall be Oslo, Norway.
